Governing Law

Revyz Inc., is a Delaware Corporation and is governed by the laws of the state of Delaware, without regard to any conflicts-of-law principle that would require or permit the application of the substantive law of any other jurisdiction.  Sole and exclusive jurisdiction and venue over any action, suit or proceeding in any manner will lie in the United States District Court for the District of Delaware.  The parties agree that the United Nations Convention on Contracts for the International Sale of Goods will not apply to this Agreement.
